Terms of service

Not published yet — this page is a drafting outline

These terms govern the paid subscription, the one-time onboarding engagement and the limits of what the product warrants — including the boundary that Sopable records training but does not discharge any statutory training obligation. This page must be replaced with text reviewed by BYXL Software LLC’s legal counsel before the site goes live. The outline below lists what the document needs to cover.

What the document needs to cover

  • Parties, definitions, and what constitutes acceptance
  • Subscription terms: per-user pricing, how seats are counted, billing period, and what happens when an employee is deactivated or replaced mid-cycle
  • The one-time onboarding fee: what it includes, whether it is refundable, and the stated turnaround
  • Any minimum seat count or minimum contract term
  • Currency, accepted payment methods, who bears FX and transaction costs, and the consequences of non-payment
  • Whether and how prices change at renewal — this must match the launch-pricing qualifier published on /pricing
  • Customer content: ownership stays with the customer, the licence granted to Sopable to process it, and what happens to it on termination
  • Acceptable use, and account security given passwordless sign-in is tied to the customer's work email domain
  • Availability commitments, or an explicit statement that none is given
  • Warranty disclaimer and limitation of liability
  • An explicit statement that Sopable records and proves training but does not issue or verify licences, and does not satisfy any statutory training requirement in any jurisdiction
  • An explicit statement that AI-generated quiz content is derived from the customer's own documents and that the customer remains responsible for the accuracy of those documents
  • Termination, suspension, data return and deletion on exit
  • Governing law, jurisdiction and dispute resolution

Cross-checks against the website

  • The regulatory boundary language must be consistent with /platform and the Electrical, Pest Control and Roofing sections of /industries
  • The pricing terms must match /pricing exactly, including the standard rate stated as the qualifier
  • Nothing in these terms may promise a roadmap feature described on /ai as in development
  • No use of the word “unlimited” unless a corresponding commitment is intended — see PLACEHOLDERS.md on AI inference cost
